These Terms & Conditions ("Terms") govern access to and use of the ClinicSoft platform, including its web application, staff application, patient application, website, and related services.

By registering, subscribing to, accessing, or using ClinicSoft, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the platform.

2. Platform Ownership

ClinicSoft is a software platform owned by Rediflex AB, Sweden.

The platform is marketed, distributed, sold, implemented, and supported in India by Datametricks Private Limited, India.

References to "ClinicSoft", "we", "our", or "us" refer to Rediflex AB and its authorized distributors, partners, and representatives where applicable.

3. About ClinicSoft

ClinicSoft is a Software-as-a-Service (SaaS) platform designed to assist clinics with:

• Queue Management
• Patient Records
• Consultations
• Digital Prescriptions
• Billing & Payment Tracking
• Inventory Management
• Reports & Analytics
• Staff Operations
• Patient Engagement
• AI-Assisted Consultation Support

4. No Healthcare Services

ClinicSoft does not:

• Provide medical consultations
• Diagnose medical conditions
• Prescribe medications
• Recommend treatments
• Provide healthcare services
• Operate clinics
• Employ healthcare professionals

5. Relationship Between Patients and Clinics

Any relationship established through ClinicSoft exists directly between the clinic and the patient.

ClinicSoft is not a party to:

• Medical consultations
• Treatment agreements
• Prescriptions
• Healthcare services
• Patient disputes
• Medical outcomes

6. Patient Registration and Clinic Association

• Appointment booking
• Clinic registration
• Scanning a clinic QR code
• Visiting a clinic

7. AI-Assisted Consultation Features

• Are informational only
• Are decision-support tools
• Do not constitute medical advice
• Do not replace professional medical judgment
• Must always be reviewed and verified

8. No Promotion or Referral Services

• Doctor listing platform
• Healthcare marketplace
• Clinic ranking platform
• Referral service
• Patient lead generation service

9. Subscription Services

Access to ClinicSoft is provided through subscription plans offered from time to time.

Features, limits, pricing, and service availability may vary depending on the selected subscription plan.

10. Free Trial

ClinicSoft may offer a free trial period to eligible clinics.

Free trial availability, features, and limitations may be modified or discontinued without notice.

11. Subscription Fees

• Subscription fees are payable in advance
• Subscriptions are billed annually
• Access activates after successful payment
• Prices exclude applicable taxes

12. No Refund Policy

• Dissatisfaction with the platform
• Non-usage of services
• Failure to use features
• Business closure
• Change of requirements
• Early termination
• User error
• Staff turnover
• Technical issues outside ClinicSoft's control

13. Auto-Renewal

Subscriptions may automatically renew at the end of the active period.

Subscribers may disable auto-renewal before renewal.

14. Payment Policy

15. Customer Responsibilities

• Maintain accurate information
• Protect login credentials
• Manage staff access appropriately

16. Data Ownership

All clinic-generated content remains the property of the respective clinic.

ClinicSoft receives limited rights necessary to provide services.

17. Data Retention After Subscription Expiry

• Access may be suspended
• Data retained up to 90 days
• Renewal restores access
• Data may be permanently deleted

18. Service Availability

• Maintenance
• Software updates
• Security updates
• Infrastructure failures
• Internet outages
• Third-party failures
• Force majeure events

19. Intellectual Property

All ClinicSoft software, trademarks, logos, designs, and technology remain the exclusive property of Rediflex AB or its licensors.

20. Limitation of Liability

• Treatment outcomes
• Clinical decisions
• Patient disputes
• Business interruption
• Loss of profits
• Loss of goodwill
• Loss of revenue
• Data loss caused by users

21. Indemnification

22. Suspension and Termination

23. Modifications to Services

ClinicSoft may modify, add, remove, or discontinue features, pricing, and services at any time.

24. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Disputes shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
